- In these Terms, unless the context requires otherwise: (i) any reference to a “person” includes any individual, company, corporation, firm partnership, joint venture, association, organisation or trust (in each case, whether or not having separate legal personality); (ii) any phrase introduced by the words “including”, “include”, “in particular”, “for example” or any similar expression shall be construed as illustrative only and shall not be construed as limiting the generality of any preceding words; (iii) references to the singular include the plural and to the masculine include the feminine, and in each case vice versa; and (iv) the headings and sub-headings are inserted for convenience only and shall not affect the meaning of these Terms.
- Verified Lending will not be in breach of these Terms or otherwise liable to you or any other person for any unavailability or failure of this Website or other failure by Verified Lending to comply with these Terms that is caused by or arises from any circumstances beyond Verified Lending’ control, including but not limited to browser failure to load these Terms.
- If any provision of these Terms is held to be illegal, void, invalid or unenforceable under the applicable laws of any jurisdiction, the legality, validity and enforceability of the remainder of these Terms shall not be affected.
- Dispute Resolution
- A party to this Agreement may not commence legal proceedings, except proceedings seeking urgent interlocutory relief, in respect of any disputes in relation to this Agreement without first complying with the dispute resolution procedures in this Clause 8.
- If a dispute arises between the parties, the parties to the dispute undertake in good faith to use all reasonable endeavours to settle the dispute by negotiation.
- If a dispute is not settled by the parties in accordance with clause 8(b) within a reasonable time of notification of dispute by either party, then:
- the parties will endeavour to settle the dispute by mediation;
- the parties agree to select a mediator within 14 days of the date of notice of intention to mediate and if none can be agreed then the parties agree to the appointment of the mediator by LEADR — Association of Dispute Resolvers; and
- the parties will share the cost of the mediator equally but will each be responsible for their own costs of mediation.
- If the dispute cannot be resolved in accordance with Clause 8 either party may by notice in writing of not less than 14 days to the other, the parties must refer the dispute to legal action and service of such notice under this sub-clause is a condition precedent to the commencement of any litigation proceedings in respect of such dispute.
